Abstract:
The Law of Venture Capital and Startups. In light of the recent development in Venture Capital world and the importance of this topic nowadays, this thesis will touch upon the regulatory and legal framework surrounding Venture Capital in the world and in Lebanon specifically. First, the research offers for readers a historical background concerning Venture Capital, along with a clear simple definition of Venture Capital and Startups. Second, it aims to assist Lawyers in first place, law students, entrepreneurs, and anyone else interested in understanding what is venture
capital, what is a startup, how the investment is made, what will attract the attention of Venture Capitalist, as well as the risks and the legal documentation needed while touching lightly on how to negotiate. Third, revealing the laws and regulations governing Venture Capital in a number of nations, including the United States, Europe, and, in particular, Lebanon. Forth, the development in laws and regulations governing the Venture Capital market in Lebanon and the impact of such development
(the private investment companies and the regulations of such entities), as well as how Lebanon is dealing with economic development worldwide. Finally, given Lebanon's dire economic situation, it was critical to emphasize the positive impact of Venture Capital market on society, by reducing the Brain Drain of new generations, as well as its positive impact on the economy, by comparing Lebanon to several countries that have been able to boost their economies through investments in new initiatives and
technological inventions.
